Ardian and Edmond de Rothschild entre into exclusive negotiations over the sale Siaci Saint Honore Group to it's management and its teams with backing of Charterhouse

Ardian, a world-leading private investment house, has entered into exclusive negotiations with the management of SIACI SAINT HONORE (“the Group”), one of the French leaders in insurance brokerage and consulting services, over its sale. The transaction will be supported by the long-established private equity firm Charterhouse.

The transaction would allow the management team of SIACI SAINT HONORE, led by Pierre Donnersberg, to hold a majority stake in the Group and to continue its strategy as a leading French player in insurance brokerage and consulting services, while pursuing its international strategy. 

Attracted by the strong growth potential of the Group, Charterhouse, following the transaction, would become a shareholder alongside SIACI SAINT HONORE’s management and Ardian would continue to support the Group in its growth strategy.
 
Edmond de Rothschild, the Group’s historic minority shareholder, will sell its stake as part of the transaction.

This transaction will be submitted to the SIACI SAINT HONORE Works Council for the signature of a definitive agreement as well as for the approval of the competition authorities. The completion of the transaction is expected to take place in September 2018.

ING and Nomura have been mandated as arrangers and bookrunners to structure financings.
